Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the metricsIQ website located at metricsiq.ai (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms do not govern metricsIQ professional services. Our consulting and managed services engagements are governed by separate Master Services Agreements or other written agreements between metricsIQ and our customers.

metricsIQ LLC (“metricsIQ,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. Continued use of the Site after changes constitutes acceptance.

Use of the Site

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for informational purposes.

You agree not to:

Use the Site for any unlawful purpose
Attempt to gain unauthorized access to any portion of the Site
Interfere with the Site’s operation
Use automated means to access or collect data from the Site
Reproduce, distribute, or create derivative works from Site content without permission

Downloadable Resources

We may make resources available for download (e.g., ebooks, guides, whitepapers). You may use these resources for personal and internal business purposes. You may not redistribute, sell, or use them to create competing products without our written permission.

Consultations and Events

We may offer complimentary consultations, webinars, or other events. These are provided at our discretion for informational purposes and do not create a client relationship. Any formal engagement of our services requires a separate written agreement.

Intellectual Property

All content on the Site – including text, graphics, logos, images, and software – is the property of metricsIQ or our licensors and is protected by intellectual property laws.

User Submissions

If you submit content to us (e.g., via contact forms), you grant metricsIQ a non-exclusive, royalty-free license to use that content for the purpose for which it was submitted.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRICSIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE.

OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Indemnification

You agree to indemnify and hold harmless metricsIQ from any claims arising from your use of the Site or violation of these Terms.

Dispute Resolution; Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Colorado, and judgment on the award may be entered in any court of competent jurisdiction.

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

You waive any right to a jury trial.

Professional Services

These Terms apply only to your use of this website. If you engage metricsIQ for professional services (consulting, implementation, or managed services), those services are governed by a separate Master Services Agreement or other written agreement between you (or your organization) and metricsIQ. In the event of any conflict between these Terms and such an agreement, the separate agreement shall control with respect to the services.

Third-Party Links

The Site may contain links to third-party websites. We are not responsible for their content or practices.

Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.

Export Compliance

The Site and its content may be subject to U.S. export control laws. You agree not to access or use the Site in violation of any applicable export laws or regulations, including U.S. sanctions laws.

Termination

We may terminate your access to the Site at any time, for any reason, without notice.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.
